Business Law: legal support working for your business

Running a business in Brazil requires courage and attention. Besides taking care of clients, staff and cash flow, business owners must deal with contracts, corporate obligations, data protection, collections and possible disputes. When legal advice comes in only when there is a problem, the cost is usually higher. When it is part of decisions from the start, it helps the business grow safely.

We serve small and medium-sized companies, independent professionals and entrepreneurs who are starting or expanding. Our approach is to translate the law into practical decisions, with clear language, defined deadlines and a focus on what really matters for your operation.

Contracts that protect your business

Contracts with clients, suppliers, partners and service providers are the basis of most commercial relationships. A well-drafted contract precisely defines the subject matter, deadlines, amounts, each party's responsibilities, penalties, termination events and how disputes will be resolved.

We draft and review service, supply, distribution, commercial representation, confidentiality, licensing and partnership agreements. We also advise on terms of use and policies for digital businesses. Before signing an important contract, a legal review can prevent unbalanced clauses and risks that go unnoticed.

Companies and shareholders' agreements

The choice of company type and tax regime affects liability, costs and how profits are distributed. The limited liability company is the most common model among small and medium-sized businesses, and its articles of association must reflect the reality of the business: each partner's share, management, profit withdrawals and rules for partners joining and leaving.

A shareholders' agreement complements the articles of association and covers sensitive topics, such as preemptive rights on the sale of shares, non-compete rules, deadlock resolution, succession upon death and criteria for valuing the company when a partner leaves. Defining these rules while everyone agrees is much simpler than discussing them in the middle of a dispute.

We also handle amendments to the articles, the entry of investors, partial dissolution of companies and the valuation of a departing partner's interest.

Data protection and compliance

Brazil's General Data Protection Law applies to companies of all sizes that process personal data of clients, employees or partners. It requires a legal basis for processing, transparency with data subjects, security measures and procedures to respond to requests and incidents.

We help map the data processed, review contracts and forms, draft privacy policies and train the team. Compliance reduces the risk of penalties and increases the trust of clients and partners.

We also review contracts with technology and service providers that access the company's data, so that each party's responsibilities are clear in the event of a breach.

Collections and debt recovery

Clients who do not pay compromise cash flow. We organize collection in stages: out-of-court notice, negotiation, protest of instruments and, when necessary, a collection action, summary proceedings or enforcement. Each step is evaluated considering the amount, the documents available and the real chance of recovery.

We also review how the company documents its sales and services, because signed contracts, invoices and proof of delivery make debt recovery much easier in the future.

Companies in crisis

In times of financial difficulty, quick and well-guided decisions make a difference. We assess alternatives such as debt renegotiation, mediation with creditors and, when appropriate, out-of-court or judicial reorganization under Brazil's Business Reorganization and Bankruptcy Law. The goal is to preserve the activity, jobs and value of the business whenever possible.

The sooner a crisis is faced, the more alternatives there are. Recurring delays with suppliers, growing tax debts and constant use of expensive credit to pay day-to-day expenses are warning signs. A legal and financial analysis at this stage allows stronger renegotiation, protection of assets essential to the business and planning of the next steps with predictability.

How our service works

Our service can be one-off, for a contract or a specific issue, or ongoing, through a monthly retainer with priority service. In the initial conversation we understand the company's situation and main risks, and present a written proposal for our work and fees.

Requests, documents and deadlines are organized in the client portal, and you receive objective explanations to make decisions with confidence. We do not promise results, but we guarantee dedication, confidentiality and a legal view aligned with your business goals.

If you are opening a company, bringing in a new partner or closing a relevant contract, schedule a conversation. Prevention is always the most economical path.
